These Terms of Service (“Terms”) govern your access to and use of the website located at hawkeyeequities.com (the “Site”), operated by Hawkeye Equities LLC and its affiliates, including Hawkeye Growth Fund LLC (collectively, “Hawkeye Equities,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not access or use the Site.
1. Nature of the Site; No Offer of Securities
The Site and all content contained herein are provided for informational purposes only. Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security or investment product. Any such offer will be made solely through the Confidential Private Placement Memorandum (the “PPM”) and related subscription documents delivered to qualified investors in compliance with applicable law.
Securities offered by Hawkeye Equities are offered only to Accredited Investors as defined under Rule 501(a) of Regulation D, as promulgated under the Securities Act of 1933, as amended (the “Securities Act”), pursuant to Rule 506(c) of Regulation D. - There is no public market for the securities and none is expected to develop

- Investment returns are subject to market conditions, asset performance, management decisions, and other factors outside of Hawkeye Equities’ control
- Investors may not be able to liquidate their investment prior to the end of any applicable holding period

4. Intellectual Property

HAWKEYE EQUITIES DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HAWKEYE EQUITIES AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL HAWKEYE EQUITIES’ AGGREGATE LIABILITY EXCEED $100.
8. Indemnification
You agree to indemnify, defend, and hold harmless Hawkeye Equities and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site.
9. Governing Law; Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Iowa, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Warren County, Iowa, and you consent to the personal jurisdiction of such courts.
10. Modifications
Hawkeye Equities reserves the right to modify these Terms at any time. Any changes will be posted on this page with an updated effective date. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of the changes. We encourage you to review these Terms periodically.
11. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
